This Amended and Restated Employment Agreement (hereinafter referred to as the “Agreement”) is made and entered into as of the 8th day of September, 2006 by and between John W. Dietrich (hereinafter referred to as “Employee”) and Atlas Air, Inc., a Delaware corporation (hereinafter referred to as “Atlas”). This Agreement amends and restates in its entirety that certain Employment Agreement between the parties dated as of April 1, 2005, as amended to date.
