This SHARE PURCHASE AGREEMENT (the “Agreement”) is dated as of March 24, 2009, by and among Qiao Xing Universal Telephone, Inc., a British Virgin Islands corporation (the “Company”), China Luxuriance Jade Company, Ltd., a British Virgin Islands corporation (collectively with each of its Subsidiaries, “China Luxuriance”), and Rui Lin WU, the sole shareholder of China Luxuriance (the “China Luxuriance Shareholder”).
