THIS SECOND AMENDMENT AGREEMENT, dated as of the 24th day of February, 2010 (this “Second Amendment”), is entered into among ODYSSEY RE HOLDINGS CORP., a Delaware corporation (the “Borrower”), various Subsidiary Credit Parties (as defined in the hereinafter defined Credit Agreement) party hereto, the Lenders (as defined in the hereinafter defined Credit Agreement) party hereto, and WACHOVIA BANK, NATIONAL ASSOCIATION, as administrative agent for the Lenders (the “Administrative Agent”).
