SEPARATION AGREEMENT dated as of , 2006 (this “Separation Agreement”), between EXTENDICARE INC., a corporation organized under the laws of Ontario, and Assisted Living Concepts, Inc., a corporation organized under the laws of Nevada and, prior to the Separation, a wholly owned subsidiary of Extendicare.
