This AMENDMENT NO. 1 TO AMENDED AND RESTATED REVOLVING CREDIT AGREEMENT (this “Amendment”) dated as of March 15, 2003, is by and among ZALE CORPORATION, a Delaware corporation having its principal place of business at 901 W. Walnut Hill Lane, Irving, Texas 75038-1003 (“Zale”), ZALE DELAWARE, INC., a Delaware corporation having its principal place of business at 901 W.
