This ASSET PURCHASE AGREEMENT (this “Agreement”) is dated as of February 17, 2005, by and among 3098103 NOVA SCOTIA LIMITED, a company incorporated under the laws of the Province of Nova Scotia (“Buyer”), RAVEN INDUSTRIES, INC., a South Dakota corporation (“Raven,” and together with Buyer, the “Buyers”), 101066275 SASKATCHEWAN LTD., a corporation organized under the laws of the Province of Saskatchewan (“Seller”), MONTGOMERY INDUSTRIES INC., a corporation organized under the laws of the Province of Saskatchewan (“Montgomery”), STANISLAUS M.
