THIS AMENDED AND RESTATED CREDIT AGREEMENT, signed as of April 26, 2006 (the “Signing Date”), but effective as of April 28, 2006 (the “Effective Date”), is by and among LIFE TIME FITNESS, INC., a corporation organized under the laws of the State of Minnesota, (the “Borrower”), the banks from time to time party hereto (individually, a “Bank” and, collectively, the “Banks”), and U. S. BANK NATIONAL ASSOCIATION, a national banking association, one of the Banks, as Administrative Agent for the Banks (in such capacity, the “Agent”) and Lead Arranger, and J. P. MORGAN SECURITIES INC., as Syndication Agent, and M&I MARSHALL & ILSLEY BANK, NATIONAL CITY BANK OF THE MIDWEST and ROYAL BANK OF CANADA, as Co-Documentation Agents.
