This Separation Agreement and Release (“Agreement”) is entered into by Toreador Resources Corporation (“Toreador” or the “Company”) and Edward Ramirez (“Employee”) as of June 27, 2008. Toreador and Employee are referred to as the “Parties.” This Agreement cancels and supersedes all prior agreements relating to Employee’s employment with the Company except as provided in this Agreement.
