This AMENDED AND RESTATED AGREEMENT (this “Agreement”) is made and entered into this 31st day of December, 2008, by and between Allion Healthcare, Inc., a corporation with its headquarters located at 1660 Walt Whitman Road, Melville, New York 11747 (the “Employer”), and Stephen A. Maggio (the “Executive”). This Agreement amends and restates the Employment Agreement between the parties dated as of July 20, 2007 (the “Original Employment Agreement”).
