THIS RESTATED TRANSITION EMPLOYMENT AGREEMENT (the “Agreement”) is made by and between Michael Mulica, an Illinois resident (the “Executive”) and Openwave Systems Inc., a Delaware corporation (the “Company”) on October 28, 2002.
