This Stock Subscription Agreement (this "Agreement") is entered into as of January 2, 2003 by and between Alliance Imaging, Inc., a Delaware corporation (the "Company") and Paul S. Viviano (the "Purchaser") (being hereinafter collectively referred to as the "Parties").

THIS AGREEMENT is made and entered into as of January 1, 2003, by and between Alliance Imaging, Inc., a Delaware corporation (hereinafter called the "Corporation"), and Paul S. Viviano (hereinafter called the "Executive"). For purposes of this Agreement, employment with the Corporation shall include employment with any of its affiliated companies.
