Attached is an amended Appendix A to the Amended and Restated Transfer Agency Agreement dated September 15, 2000 (the "Agreement") between Financial Investors Trust (the "Trust") and ALPS Mutual Funds Services, Inc. ("ALPS"). The revised Appendix A will be effective as of _________2003. The purpose of the amendment is to reflect the inclusion of the American Freedom U.S. Government Money Market Fund therein and to delete certain series that are no longer part of the Trust. This letter confirms ALPS Mutual Funds Services, Inc.'s ("ALPS") agreement with the Trust to reimburse Fund expenses and/or waive a portion of its administration fee that it is entitled to receive from the Trust's Prime Money Market Fund, Class II (the "Fund") to the extent necessary for the Fund to maintain net annual Fund operating expenses of not more than .60% for the fiscal year ending April 30, 2004.
