AGREEMENT AND PLAN OF MERGER, dated as of February 27, 2004 (this "Agreement"), among GMI Holding Corporation, a Delaware corporation ("Parent"), GMI Merger Corporation, a Delaware corporation and wholly owned subsidiary of Parent ("Purchaser"), and Guilford Mills, Inc., a Delaware corporation (the "Company").
