This Registration Rights Agreement (the "Agreement") is made and entered into this 25th day of March, 2004, by and between Metropolitan Edison Company, a Pennsylvania corporation (the "Issuer") and J.P. Morgan Securities Inc. and Wachovia Capital Markets, LLC, as representatives of the Initial Purchasers (as defined below).
