This Definitive Share Exchange Agreement (“Agreement”), dated as of September 21, 2021, is among Ever Full Logistics Limited (“EFLL”), Wei Qun Chen, the sole shareholder of EFLL (the “Shareholder”), and Novagant Corp., a Nevada corporation (“NVGT”). Collectively, the Shareholder, EFLL, and NVGT are the “Parties.”
