This Asset Purchase Agreement (this “Agreement”) is dated as of June 19, 2003, by and among InSight Health Corp., a Delaware corporation (“Buyer”), CDL Medical Technologies, Inc., a Pennsylvania corporation (“Seller”), Keith E.
