THIS AMENDED AND RESTATED REGISTRATION RIGHTS AGREEMENT (this "Agreement"), executed as of August 1, 2025, is made between PIMCO MUNICIPAL INCOME FUND II, a Massachusetts business trust, as issuer (the "Fund"), and BANC OF AMERICA PREFERRED FUNDING CORPORATION, a Delaware corporation, including its successors by merger or operation of law (and not merely by assignment of all or part of this Agreement (as defined below)) (the "Shareholder").

SERIES 2054 RVMTP EXCHANGE AGREEMENT dated as of August 1, 2025, between PIMCO MUNICIPAL INCOME FUND II, a closed-end fund organized as a Massachusetts business trust, as issuer (“PML”, the “Acquiring Fund”, “Fund” or the “Issuer”); PIMCO Municipal Income Fund (“PMF”), PIMCO Municipal Income Fund III (“PMX”, and together with PMF the “Acquired Funds” and each an “Acquired Fund”) and BANC OF AMERICA PREFERRED FUNDING CORPORATION, a Delaware corporation, including its successors by merger or operation of law (and not merely by assignment of all or part of this Agreement), as the holder of the Acquired Fund Series 2054 RVMTP Shares (as defined below) and recipient of the RVMTP Merger Shares hereunder (the “Investor”).
