THIS SECURITIES PURCHASE AGREEMENT (the “Agreement”) dated as of July 21, 2008 by and among Tia III, Inc. , a Delaware corporation having its principal office at 7325 Oswego Road , Suite D, Liverpool, New York, 13090 (“Company”), Mary Passalaqua, the sole and controlling shareholder of Company, having an office at 7325 Oswego Road , Suite D, Liverpool, New York, 13090 (“ Shareholder”), and Daniel J. Delsonno, an individual residing at 36320 North County Rd. 44A, Eustis, Florida 32736 (the “ Purchaser”). Company, Shareholder and Purchaser are collectively referred to herein as Parties. Shareholder and Purchaser are referred herein collectively, after the Closing of this Agreement as (lower case) “shareholder”.
