THIS AMENDMENT TO AMENDED AND RESTATED AGREEMENT (the “Amendment”) dated as of March 14, 2011, is entered into by and between Document Security Systems, Inc., a New York corporation (together with its successors, the "Company"), and Fletcher International, Ltd., a company domiciled in Bermuda (together with its successors, the "Purchaser"). Capitalized terms used but not otherwise defined herein shall have the respective meanings set forth in the Agreement (as defined below), as applicable.
