THIS EXECUTIVE EMPLOYMENT AGREEMENT (this “Agreement”) is entered into as of March 24, 2011, by and between Colfax Corporation, a Delaware corporation (the “Company”), and Clay H. Kiefaber (the “Executive”) and supersedes in its entirety the Executive Employment Agreement dated January 9, 2010 between the Company and the Executive.
