Immunicon Corporation, a Delaware corporation (the “Company”), proposes, subject to the terms and conditions contained herein, to issue and sell 4,137,902 shares (the “Shares”) of common stock, $0.001 par value per share (the “Common Stock”), directly to certain investors (collectively, the “Investors”).
