THIS AMENDED AND RESTATED RIGHTS AGREEMENT (this “Agreement”) is made and entered into as of December 20, 2005, by and between Quicksilver Resources Inc., a Delaware corporation (the “Corporation”), and Mellon Investor Services LLC, a New Jersey limited liability company (the “Rights Agent”) and constitutes an amendment and restatement of the Rights Agreement, dated March 11, 2003, between the Corporation and the Rights Agent.
