THIS STOCK PURCHASE AGREEMENT (this “Agreement”) is made as of September 9, 2008, by and among Feld Entertainment, Inc., a Delaware corporation (“Parent”), Feld Acquisition Corp., a Texas corporation and wholly-owned subsidiary of Parent (“Buyer” and, together with Parent, the “Buyer Parties”), Live Nation Motor Sports, Inc., a Texas corporation (the “Company”), and Live Nation Worldwide, Inc., a Delaware corporation (“Seller”).
