AGREEMENT dated as of January 14, 2025, between each of The Alger Funds, The Alger Funds II, The Alger Institutional Funds, Alger Global Equity Fund and The Alger Portfolios, severally and not jointly, on behalf of itself or its portfolios listed on Appendix A attached hereto (as it may be amended from time to time), individually and not jointly (collectively, the “Fund”), and ReFlow Fund, LLC, a Delaware limited liability company (“ReFlow”), in consideration of the mutual agreements herein contained and other valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties hereto hereby agree as follows:
