THIS MEMBERSHIP UNIT PURCHASE AGREEMENT (this “Agreement”) is made and entered into as of August 5, 2025, by and among TRANSCAT, INC., an Ohio corporation (“Buyer”), ESSCO HOLDINGS, INC., a Massachusetts corporation (“Seller”), MICHAEL WALSH, AS TRUSTEE OF THE MICHAEL WALSH REVOCABLE TRUST OF 2020 (“Shareholder”), and MICHAEL WALSH, individually (“Walsh” and, together with Seller and Shareholder, each, a “Seller Party” and, collectively, the “Seller Parties”). Buyer and the Seller Parties are referred to herein, individually, as a “Party” and together as the “Parties”.
