This Amendment # 1 (hereinafter called the “Amendment”) to Clinical Trial Agreement (“Agreement”) shall enter into effect on the date of publication into the Register of Contracts in the Czech Republic (the “Effective Date”)

Vzhledem k tomu, že společnost Janssen, CRO, zdravotnické zařízení a hlavní zkoušející uzavřeli Smlouvu ke dni 24. října 2018.

Vzhledem k tomu, že si smluvní strany dále přejí změnit některé podmínky ▇▇▇▇▇▇▇, jak je uvedeno níže.

Nyní, z tohoto důvodu, s ohledem na vzájemná ujednání stanovená v tomto Dodatku, se smluvní strany tohoto Dodatku dohodly takto:

1. Definice

Pro účely tohoto Dodatku mají výrazy psané v Dodatku s velkým počátečním písmenem stejný význam, jaký je definován ve Smlouvě, pokud není výslovně uvedeno něco jiného.

2. Příloha B – Finanční ustanovení

Smluvní strany souhlasí, že Příloha B „Finanční ustanovení“ Smlouvy se mění takto

a) odstraněním odstavce d) v Článku 5 „Platební podmínky“ a nahrazením následujícím zněním:

Whereas, ▇▇▇▇▇▇▇, CRO, Institution and Principal Investigator have executed the Agreement on 24 October 2018.

Whereas, the parties have further expressed their desire to amend certain terms of the Agreement, as hereinafter set forth.

Now therefore, in consideration of the mutual covenants set forth herein, the parties hereto agree as follows:

1. Definitions

For the purpose of this Amendment all capitalized terms used herein shall have the same meaning as set forth in the Agreement, except as expressly stated otherwise herein.

2. Annex B – Financial Provisions

The parties agree that Annex B “Financial Provisions“ of the Agreement shall be amended as follows

a) by deleting paragraph d) in Section 5 “Payment Terms“ and replacing it with the following:

Všechna výše uvedená ustanovení nabývají účinnosti Dnem účinnosti. Není-li zde výslovně uvedeno jinak, všechna ostatní ustanovení a podmínky Smlouvy nadále platí a jsou účinné beze změn. Tímto Dodatkem nejsou měněna žádná jiná ustanovení Smlouvy ani žádná nezanikají s výjimkou výše výslovně uvedených změn.

2. Registr smluv v České republice

Bez ohledu na výše uvedené, zdravotnické zařízení, společnost Janssen, hlavní zkoušející a CRO tímto berou na vědomí, že tento Dodatek bude uveřejněn v souladu se zák. č. 340/2015 Sb., o registru smluv. Za uveřejnění dle předchozí věty odpovídá Zdravotnické zařízení. Takovémuto uveřejnění nepodléhají ty údaje, které tvoří obchodní tajemství některé ze smluvních stran. Pro účely tohoto Dodatku a Smlouvy se obchodním tajemstvím rozumí zejména Příloha B Smlouvy – Finanční ustanovení, minimální cílový počet zařazení, očekávaný počet zařazených subjektů a očekávaná délka trvání Studie. Dále nebudou takovémuto uveřejnění podléhat osobní údaje fyzických osob, ledaže jsou již uveřejněny v jiném veřejně přístupném registru. Za uveřejnění Dodatku dle předchozího odstavce odpovídá zdravotnické zařízení. zdravotnické zařízení vyrozumí CRO o uveřejnění Dodatku v registru smluv tak, že ve formuláři používaném k

All above stated provisions shall be effective as from the Effective Date. Except as specifically provided herein, all other terms and conditions in the Agreement shall remain unchanged and in full force and effect and this Amendment shall not be construed to amend or waive any provisions of the Agreement except as specifically set forth above.

2. Register of Contracts in the Czech Republic

Notwithstanding the foregoing, Institution, ▇▇▇▇▇▇▇, Principal Investigator and CRO hereby acknowledge that this Amendment shall be published pursuant to the Act No. 340/2015 Sb., on Agreements Register. As and between the Parties, Institution agrees to publish this Amendment pursuant to the foregoing. Any information which constitutes trade secret of either Party is exempted from such publication. For the purposes of this Amendment and the Agreement, such trade secrets include, but are not limited to, Annex B to the Agreement – Financial Provisions, minimum enrollment goal, expected number of Study subjects enrolled and the expected duration of the Study. Furthermore, personal data of individuals are also exempt from such publication, unless they have been previously published in another public register. The Institution is obliged to publish this Amendment in

Předpokládaná hodnota finančního plnění dle Smlouvy ve

Institution will inform CRO of publishing this Amendment in the Agreements Register by designating the following email address:

as the email address to which a notification of publication in the Agreements register shall be sent. Should the Institution fail to publish this Amendment within 15 working days from its full execution by all Parties, it may be published by ▇▇▇▇▇▇▇ or CRO.

The estimated value of financial payment under the Agreement as amended shall be approximately CZK 272,750.

NA DŮKAZ TOHO smluvní strany uzvařely tento Dodatek ve čtyřech vyhotoveních prostřednictvím svých řádně oprávněných zástupců v níže uvedený den posledního podpisu, přičemž každá strana potvrdí přijetí každého vyhotovení.
