Examples of 2011 Notes in a sentence
In the event that the Company consummates an initial public offering of its Common Stock (the “IPO”) prior to the Maturity Date, the Outstanding Amount under this Senior Note shall automatically convert into an amount of shares of Common Stock equal to the 2011 Notes Conversion Shares multiplied by the Note Percentage.
If an interest payment date for the 2011 Notes or the 2016 Notes falls on a day that is not a Business Day, the interest payment shall be postponed to the next succeeding Business Day, and no interest on such payment shall accrue for the period from and after such interest payment date.
An example of the calculation of the 2011 Notes Conversion Shares, provided for illustrative purposes only, is attached hereto as Annex A.
At any time prior to September 1, 2011, Notes may also be redeemed or purchased (by the Company or any other Person) in whole or in part, at the Company’s option, at a price equal to 100% of the principal amount thereof plus the Applicable Premium as of, and accrued but unpaid interest, if any, to, the Redemption Date (subject to the right of Holders of record on the relevant record date to receive interest due on the relevant Interest Payment Date pursuant to Section 307 of the Indenture).
No sinking fund shall be provided for the 2011 Notes and the 2011 Notes shall not be repayable at the option of the Holders thereof prior to Stated Maturity.
