The Company has not received any notice or other communication from the U.S. Food and Drug Administration (the “FDA”) or any other governmental agency or instrumentality exercising comparable authority alleging any violation of any laws, rules or regulations by the Company in connection with the Activities to Date.
The Company is in compliance with all material terms and conditions of each Regulatory License and with all applicable laws, rules and regulations pertaining to the Activities to Date where failure to so comply would have a Company Material Adverse Effect.
To the Company’s Knowledge, the Acquired Companies are in compliance with all applicable Laws, rules and regulations pertaining to the Activities to Date.
