Additional First Lien Agent definition

Additional First Lien Agent means the Person appointed to act as trustee, agent or representative for the holders of Additional First Lien Obligations pursuant to any Additional First Lien Agreement.
Additional First Lien Agent means any agent, trustee or representative of the holders of Additional First Lien Obligations who (a) is appointed as the First Lien Agent (for purposes related to the administration of the security documents related thereto) pursuant to a credit agreement or other agreement governing such Additional First Lien Obligations, together with its successors in such capacity, and (b) has become a party to the Intercreditor Agreement either directly or by executing a joinder in the form required under the Intercreditor Agreement or such other form that is reasonably acceptable to the First Lien Designated Agent.

  • To the extent of any conflict between this Agreement and the Intercreditor Agreement as to the rights of Secured Party, as the Initial Additional First Lien Agent (as defined therein), and Acquiom Agency Services LLC, as the Initial First Lien Agent (as defined therein), the Intercreditor Agreement shall control as between Secured Party, as the Initial Additional First Lien Agent, and Acquiom Agency Services LLC, as the Initial First Lien Agent.


More Definitions of Additional First Lien Agent

Additional First Lien Agent has the meaning assigned to such term in the introductory paragraph of this Agreement; provided, that following the Discharge of the Initial Additional First Lien Obligations, the Additional First Lien Agent shall be the Authorized Representative of a Series of Additional First Lien Obligations then outstanding as designated by (i) if prior to the Discharge of Credit Agreement Obligations, the Major Non-Controlling Authorized Representative, or (ii) if after the Discharge of Credit Agreement Obligations, the Applicable Authorized Representative.
Additional First Lien Agent in the ABL Intercreditor Agreement shall be deemed to include the New Additional First Lien Agent. The ABL Intercreditor Agreement is hereby incorporated herein by reference.
Additional First Lien Agent means each of the Initial Additional First Lien Agent and, with respect to each Series of Additional First Lien Obligations that becomes subject to the terms of this Agreement after the date hereof, the Person serving as collateral agent (or the equivalent) for such Series of Additional First Lien Obligations and named as such in the applicable Joinder Agreement delivered pursuant to Section 5.18 hereof, together with its successors from time to time in such capacity.

Related to Additional First Lien Agent

  • Additional First Lien Secured Parties means the holders of any Additional First-Lien Debt Obligations and any Authorized Representative with respect thereto, and shall include the Initial Additional First-Lien Secured Parties.

  • First Lien Agent means the administrative agent, the trustee or other similar representative under the First Lien Credit Agreement.

  • Additional First Lien Documents means, with respect to any Additional First Lien Obligations, the notes, indentures, credit agreements, note purchase agreements, security documents and other operative agreements evidencing or governing such Indebtedness and the Liens securing such Indebtedness, including the Additional First Lien Security Documents and each other agreement entered into for the purpose of securing the Additional First Lien Obligations.
