The relevant terms and conditions detailed in this Agreement, including its Appendices, shall apply, mutatis mutandis, to the Additional Goods.
Price of the Additional Goods shall be negotiated in good faith between the Parties based on the Goods Price.
Additional Goods shall be provided only when a Supplemental Contract authorizing the Additional Goods is approved in writing by the City in accordance with the City’s contract amendment procedures.

Thereupon, Licensor shall promptly either grant or deny Sublicensee the right to use the Trademark in association with the Additional Goods and Services.
Licensor shall have the right, reasonably exercised, to refuse to allow Sublicensee to offer or sell the Services, or any Additional Goods and Services, in association with the Trademark if Sublicensee fails to meet the terms of this Agreement, including any quality control standards in section 9.
