Additional Preferred Return definition

Additional Preferred Return means an amount computed like interest at a rate of twelve and one-half percent (12.50%) per annum, compounded on the last day of each calendar year, on the Additional Preferred Return Base for the period from the Effective Date through the date of the relevant calculation.
Additional Preferred Return means (1) with respect to ROCK OHIO VENTURES I LLC an amount equal to ten (10) times the Capital Contribution (exclusive of any Senior Equity Capital Contribution) made with respect to its Interest in the Company, provided, however, that in no event shall the Capital Contribution upon which the Additional Preferred Return is based exceed the amounts set forth on Schedule 2.1(a) with respect to ROCK OHIO VENTURES I LLC, and (2) with respect to LAKES OHIO DEVELOPMENT LLC an amount equal to $5,000,000.
Additional Preferred Return shall have the meaning ascribed to such term in Section 5.3.

Examples of Additional Preferred Return in a sentence

  • In connection with the determination of the amount of distributions of Remaining Distributable Cash Flow with respect to the Residual Units in accordance with Section 3.5, Company shall record in its books and records and track the Additional Preferred Return Account.

More Definitions of Additional Preferred Return

Additional Preferred Return means, as of any time of determination, an amount equal to (i) the sum of the Base Preferred Return rate in effect at such time plus three percent (3%) per annum multiplied by (ii) the amount of any Base Preferred Return that is not paid by the end of the Semi-Annual Period during which it accrued. The Additional Preferred Return shall continue to accrue until both the Base Preferred Return to which it relates and the Additional Preferred Return is paid in full pursuant to Sections 8.1 and 14.2.
