Examples of Aggregate Transaction Value in a sentence
For the purposes of this Section 5(e), "Aggregate Transaction Value" shall mean the sum of the aggregate consideration received by the sellers in the transaction (reduced by the present value of any future or contingent obligations retained by the sellers) plus the aggregate liabilities assumed by the acquiring party in the transaction.
For the avoidance of doubt, the maximum aggregate liability of each of the IDIT Selling Shareholders for any Losses arising under this Agreement shall be such Selling Shareholder's Participation Portion in the IDIT Aggregate Transaction Value.
For the avoidance of doubt, the maximum aggregate liability of each of the FIS Selling Shareholders for any Losses arising under this Agreement shall be such Selling Shareholder's Participation Portion in the FIS Aggregate Transaction Value.
