The Borrowers may, upon at least 3 Domestic Business Days' notice to the Agent, terminate at any time, or proportionately and permanently reduce the Aggregate Unused Commitments from time to time by an aggregate amount of at least $5,000,000 or any larger integral multiple of $1,000,000.
If the original face amount of the requested Letter of Credit is less than or equal to the Aggregate Unused Commitments at such time and the applicable conditions set forth in this Agreement are satisfied, the Agent shall issue the requested Letter of Credit.
The Borrower will not permit the sum of the Aggregate Unused Commitments on such date plus the Credit Parties’ Unrestricted Cash and cash equivalents in Permitted Investments (but specifically including any Credit Party’s interest in cash held in the BG Operating Account and the BG Escrow Account for purposes of funding BG Development Costs) as of such date minus any Borrowing Base Deficiency to be less than $20,000,000 at any time.
