  • Subject to the terms and conditions of the Agreement, eXp hereby grants Vendor a limited, royalty-free, fully-paid up, non-exclusive, non- transferable, and non-sublicensable license to Process (as defined in the DPA) the eXp AI Input and eXp AI Output in the United States or other by eXp or a User, and solely as necessary to provide the Services for eXp's benefit as provided in this Agreement during the Term.

  • Company shall have no liability for any claim, suit or proceeding brought against Customer based on an allegation that the AI Product(s) or AI Output, as delivered by Company, infringes any trademark, patent or copyright or violates any trade secret rights of any third party.

AI Output means any data, work of authorship, text or other content that is generated by any AI Technologies. “AI Technologies” means any Technology related to deep learning, machine learning, self-improving, generative artificial intelligence or other artificial intelligence fields including, but not limited to, those that use of or employ neural networks, statistical learning algorithms (like linear and logistic regression, support vector machines, random forests, k-means clustering), or reinforcement learning.
