The Company acknowledges and agrees that, after giving effect to the transactions contemplated hereby, without any further action by the Warrantholder, the shares of Common Stock issuable upon exercise of the Amended and Restated Warrants will be registered for resale pursuant to that certain Registration Statement File No. 333-173574, and upon exercise of the Amended and Restated Warrant, may be resold pursuant to such Registration Statement without any restrictions or limitations.
The execution, delivery and performance by the Company of this Agreement and the Related Documents to which it is a party, the issuance of the Amended and Restated Warrants to the Warrantholder as contemplated herein and consummation of the other transactions contemplated by this Agreement and the Related Documents to which it is a party have been duly authorized by all necessary action on the part of the Board of Directors of the Company.
No consideration shall be offered or paid to any Person to amend or consent to a waiver or modification of any provision of any of the Transaction Documents unless the same consideration also is offered to all of the parties to the Transaction Documents, holders of Second Amended and Restated Notes or holders of the Second Amended and Restated Warrants, as the case may be.
All of the Original Warrants shall have been exchanged pursuant to the Exchange for the Amended and Restated Warrants and the Amended and Restated Warrants shall be in full force and effect.
