Amendment and Modification definition

Amendment and Modification. Subject to applicable law, this Agreement may be amended, modified or supplemented only by a written agreement, signed by both parties. No oral modifications to this Agreement may be made.
Amendment and Modification. Any modifications, amendments or supplements to this Agreement will be effective only if in writing, signed by both parties. No handwritten changes on this Agreement shall be effective unless individually initialed by duly authorized signatories.

  • Section 18(a) of each Agreement provides substantially as follows with respect to the amendment of such Agreement: Amendment and Modification.

  • Such modification, invalidity, illegality or unenforceability shall not affect any other term or provision hereof or Amendment and Modification.

  • The Borrower, the Agent and certain of the Banks are parties to a Revolving Credit Agreement dated as of January 8, 1997, as amended by the First Amendment and Modification Agreement dated as of February 21, 1997 (as so amended, the "Original Credit Agreement").

  • Sections 10.02 (Amendment and Modification), 10.03 (Notices), 10.04 (Counterparts), 10.05 (Entire Agreement; No Third Party Beneficiaries), 10.06 (Severability), 10.09 (Extension; Waiver), 10.11 (Headings) and 10.12 (Equitable Relief) of the SPA are hereby incorporated in this Guaranty by reference on a mutatis mutandis basis.

  • The Financing Sources shall be a third party beneficiary of Section 8.11 (Financing); Section 11.2 (Amendment and Modification); this Section 11.8 (Entire Agreement; No Third Party Beneficiaries); Section 11.11 (Governing Law); Sections 11.12(a) and (c) (Enforcement; Exclusive Jurisdiction); Section 11.13 (Waiver of Jury Trial); and Section 11.14 (Financing Sources).

  • Any changes to the General SOW Provisions can only be made by the Parties pursuant to the process described in Section 18.15 (Amendment and Modification).

Related to Amendment and Modification

  • Contract Modification means any changes in the terms or provisions of the Contract which are reduced to writing and fully executed by both parties.

  • Permit modification means a revision to a Title V operating permit that cannot be accomplished under the provisions for administrative permit amendments found at rule 567—22.111(455B). A permit modification for purposes of the acid rain portion of the permit shall be governed by the regulations pertaining to acid rain found at rules 567—22.120(455B) to 567—22.147(455B). This definition of “permit modification” shall be used solely for purposes of this chapter governing Title V operating permits.

  • Minor modification means a modification that does not significantly alter the nongovernmental function or purpose of the software or is of the type customarily provided in the commercial marketplace.

  • Required Modification shall have the meaning specified in Section 8.1 of the Facility Lease.

  • Major modification means any physical change in or change in the method of operation of a major stationary source that would result in a significant emissions increase of a regulated NSR pollutant and a significant net emissions increase of that pollutant from the major stationary source.
