Amendment of Section 2 definition

Amendment of Section 2. Section 2 of the note is hereby amended by adding the following phrase to the end of the first sentence thereof: "; provided, however, that if the Conversion Price calculated at the termination of the Calculation Period is less than $15.00 (appropriately adjusted for stock splits or stock dividends), then the Company shall, from such date until the principal amount hereof is paid in full, pay interest on the principal amount hereof, at a rate of 5.5% per annum."

Amendment of Section 2. All references in Section 2 of the Loan Agreement to the amount of the Revolving Credit Facility are hereby changed from "Ten Million Dollars ($10,000,00)" to "Twenty Million Dollars ($20,000,00)".

Related to Amendment of Section 2

  • Form of Agreement means the form of agreement contained in Part D of the RFP;

  • Statement of SEN means a statement made under section 324 of the Education Act 1996.

  • Term of Agreement for the purposes of this Agreement shall have the meaning ascribed thereto in Article 2.2 of this Agreement;

  • the first supplementary agreement means the agreement of which a copy is set out in the Second Schedule;

  • Master Definitions Schedule means the amended and restated schedule of definitions relating to the Programme originally dated the Programme Effective Date and as most recently amended and restated on 18 December 2020 (as further amended, supplemented and/or replaced from time to time).
