Amendment to Section 1. Definitions. The definition of "Tangible Net Worth" set forth in Section 1.1 of the Loan Agreement is hereby amended by inserting the words "or of Senior Housing Properties Trust, a Maryland real estate investment trust," immediately after the reference to "Hospitality Properties Trust" in clause (v) of the exclusions thereto.

Amendment to Section 1. Pledge of Security Subsection 1(e) of the Holdings Pledge Agreement is hereby amended to add the parenthetical phrase "(other than ▇▇▇▇▇ II)" after the phrase "a direct Subsidiary of Pledgor".

Amendment to Section 1. The first sentence of Section 1 of the Agreement is hereby deleted and the following inserted in its place: "The Employee is employed as Chief Executive Officer and President of the Employer and shall serve as a member of the Board of Directors of the Employer from the date of employment through the Term of this Agreement."
