The Collateral Agent shall have the right, in accordance with the Security Documents, as amended by the Amendments to Security Documents to sell, lease or otherwise dispose of any Collateral (as defined in the Security Agreements) for cash, credit or any combination thereof, and the Collateral Agent may purchase any Collateral at public or, if permitted by law, private sale and, in lieu of actual payment of the purchase price, may credit bid and setoff the amount of such price against the Obligations.
The Collateral Agent may perform any and all of its duties and exercise its rights and powers hereunder or under any Security Documents, as amended by the Amendments to Security Documents by or through any one or more sub-agents appointed by the Collateral Agent.
It is understood and agreed that the use of the term “agent” herein or in any Security Documents, as amended by the Amendments to Security Documents (or any other similar term) with reference to the Collateral Agent is not intended to connote any fiduciary or other implied (or express) obligations arising under agency doctrine of any applicable law.
