Annual Budgets definition

Annual Budgets is defined in Section 6.16(a).

Annual Budgets the then current Annual Cap Ex Budget or Annual Operating Budget or both, as applicable. Annual Cap Ex Budget: the capital expenditures budget of the Company for a given Fiscal Year, each of which will be consistent with the Four Year Plan applicable for the given Fiscal Year and will be in the form of, and contain the same scope of information included in, the First Year Cap Ex Budget.

Annual Budgets means the proposed operating and capital budgets of the Resort which shall have been prepared and submitted by the Resort Manager to the Partnership for its approval in respect of each fiscal year of the Partnership pursuant to the terms of the Management Agreement.

Annual Budgets means, with respect to a fiscal year, the budgets of the Agency prepared in accordance with Section 2.6 of this Agreement.

Annual Budgets has the meaning set forth in Section 8.4(a).

Annual Budgets means the annual budgets that the Loral Entities cause SS/L management to develop in order to implement the Strategic Plan.

Annual Budgets as soon as practicable and in any event no later than 30 days after the Board of Directors of Company has given its approval, the annual budget for each succeeding Fiscal Year of Company and its Subsidiaries and setting forth forecasted sales, operating profit, cash flows, capital expenditures and depreciation on a Division by Division basis;

Annual Budgets means the annual budgets referred to in Section I.G of the Operation Agreement.

Approved Affiliate Transactions: the following agreements and transactions: [a] the Contribution Agreement, all Affiliate Contracts that are Assumed Contracts (as identified on the Schedules to the Contribution Agreement) to which the Company, on the one hand, and a Member or an Affiliate of a Member, on the other hand, are parties after the Effective Date, and all agreements entered into in connection with closing of the Contribution Agreement that are between a Member or an Affiliate of a Member and the Company, including all agreements related to the contribution of assets by the Members to the Company (and maintenance thereof) and the applicable Ancillary Agreements, [b] the GCI Services Agreement, subject to the terms of Section 6.4[n][x] and [y], respectively, in the case of Professional Services and Satellite Capacity Services provided under such agreement, [c] the ACS Services Agreement, [d] the Facilities and Network Use Agreement, [e] the GCI Working Capital Loan and [f] any other agreement or transaction that is approved by the unanimous Vote of the Members. Arbitration Agreement: that certain Arbitration Agreement between the Company and the Members set forth as the attached Exhibit E, as it may be amended from time to time, and which is hereby incorporated into and made a part of this Agreement. Arbitrator: as defined in the Arbitration Agreement.
