Antitrust Conditions definition

Antitrust Conditions means any of the conditions set forth in Section 6.1(a), Section 6.1(b) and Section 6.2(i) but, with respect to Section 6.1(a), solely to the extent the Order or Law referred to in such section is issued or brought under applicable Antitrust Laws.
Antitrust Conditions means any of the conditions set forth in Section 9.1(b) and Section 9.1(c) (but solely, in the case of Section 9.1(c), to the extent the order, injunction, judgment or decree referred to in such Section is issued or brought under applicable Antitrust Laws).
Antitrust Conditions has the meaning set forth in Section 12.2(a).

Examples of Antitrust Conditions in a sentence

  • Notwithstanding Parent’s rights to lead all proceedings as provided in the prior sentence, Parent shall not require the Company to, and the Company shall not be required to, take any action with respect to satisfying the Antitrust Conditions which would bind the Company or its Subsidiaries irrespective of whether the Closing occurs.

  • In each case, the Purchaser shall take all steps necessary for the purpose of satisfying the Antitrust Conditions including as required under, but subject to, clause 4.4 of the SPA (including in either case making appropriate submissions, notifications and filings, in consultation with the Sellers).

  • Parent and the Company and their respective Subsidiaries shall, subject to the provisions of this Section 5.7, use their respective best efforts to seek to lift, reverse or remove any temporary restraining order, preliminary or permanent injunction or other order or decree that would otherwise give rise to a failure of any Antitrust Conditions.

  • The Company shall make or cause to be made as promptly as reasonably practicable all filings and submissions, if any, required of the Company under all Antitrust Laws or other Laws applicable to the Company for the consummation of the transactions contemplated herein, including those set forth on the Antitrust Conditions Schedule.

  • Parent, Acquiror and the Company and their respective Subsidiaries shall, subject to the provisions of this Section 8.2, use all their respective reasonable efforts to seek to lift, reverse or remove any temporary restraining order, preliminary or permanent injunction or other Order or decree that would otherwise give rise to a failure of any Antitrust Conditions.


More Definitions of Antitrust Conditions

Antitrust Conditions means, as of any applicable measuring date, the conditions set forth in (i) Section 6.1(a) and (ii) Section 6.1(b) (but in the case of this sub-clause (ii), only in respect of an Order issued under, or related to an action commenced under or pursuant to, any Competition Law).

Antitrust Conditions means the conditions set out in Clause 5.1(b) and 5.1(c);
Antitrust Conditions has the meaning given in Section 16.1(b), hereto.
