Applicable Usage definition

Applicable Usage. Premium shall mean the percentage rate per annum corresponding to the indicated level of Insurer Financial Strength Rating in the pricing grid on Schedule 1.01(A) below the heading "Usage Premium." The Applicable Usage Premium shall be computed in accordance with the parameters set forth on Schedule 1.01(A). Assignee Bank shall have the meaning assigned to such term in Section 2.09(b).
Applicable Usage. Premium shall mean the percentage rate per annum corresponding to the indicated level of Insurer Financial Strength Rating or Holdings Debt Rating, as the case may be, in the pricing grid on Schedule 1.01(A) below the heading “Usage Premium.” The Applicable Usage Premium shall be computed in accordance with the parameters set forth on Schedule 1.01(A). Approved Currency shall mean each of Dollars and each Alternate Currency. Assignee Bank shall have the meaning assigned to such term in Section 2.09(b). Assignment and Assumption Agreement shall mean an Assignment and Assumption Agreement by and among a Purchasing Bank, a Transferor Bank and the Agent, as Agent and on behalf of the remaining Banks, substantially in the form of Exhibit 1.01(A). Associated Cost Rateshall mean, with respect to any Interest Period for Pounds Sterling denominated Loans, the amount (expressed as a percentage rate per annum, rounded up to the nearest four decimal places, as determined by the Agent on the first day of such Interest Period) required to compensate the Banks lending from facility offices in the United Kingdom for the portion of the cost of each such Bank of complying with the cash ratio and special deposit requirements of the Bank of England and/or capital adequacy requirements and banking supervision or other fees imposed by the United Kingdom Financial Services Authority, which, in the reasonable determination of such Bank, is attributable to the Loans made by such Bank from its facility office in the United Kingdom and outstanding during such Interest Period.

  • Applicable Usage Reports allow us to improve our Software and fulfill our contractual promises towards you.

  • On each day on which the Facility Usage exceeds 33.3% of the amount of the Commitments (or, after the Expiration Date, the Commitments as in effect immediately prior to the Expiration Date), the Applicable Margin shall be increased for such day by the Applicable Usage Premium.

  • You shall indemnify and hold ABB harmless from and against any and all costs, claims, demands, lia- bilities, expenses, damages or losses arising out of (i) any actual or alleged infringement under any legislation of third-party Intellectual Property Rights or other rights arising out of any Project Data or Customer Data, (ii) any breach by You of the Applicable Usage Rules, or (iii) any other breach of this Agreement by You.

  • On each day on which the Facility Usage exceeds 33.3% of the amount of the Commitments, the Applicable Margin shall be increased for such day by the Applicable Usage Premium.

  • On each day on which the Facility Usage exceeds 50.0% of the amount of the Commitments, the Applicable Margin for Revolving Credit Loans outstanding as LIBOR Loans shall be increased for such day by the Applicable Usage Premium (for all purposes hereunder, including without limitation for purposes of Sections 2.03(b) and 3.02).

  • On each day on which the Revolving Facility Usage exceeds 33.3% of the amount of the Commitments, the Applicable Margin shall be increased for such day by the Applicable Usage Premium.

  • You shall indemnify and hold ABB harmless from and against any and all costs, claims, demands, liabilities, expenses, damages or losses arising out of (i) any actual or alleged infringement under any legislation of third-party Intellectual Property Rights or other rights arising out of any Project Data or Customer Data, (ii) any breach by You of the Applicable Usage Rules, or (iii) any other breach of this Agreement by You.

  • The number and placement of Concession locations for food and beverage during the Applicable Usage Hours shall be at the sole discretion of City.

  • Any such Applicable Usage Rules are hereby incorporated herein, and to the extent possible, are superseded hereby.

Related to Applicable Usage

  • Facility Usage means, at the time in question, the aggregate amount of outstanding Loans and LC Obligations at such time.

  • Revolver Usage means, as of any date of determination, the sum of (a) the amount of outstanding Advances, plus (b) the amount of the Letter of Credit Usage.

  • Applicable Unused Line Fee Percentage means, as of any date of determination, the applicable percentage set forth in the following table that corresponds to the Average Revolver Usage of Borrowers for the most recently completed month as determined by Agent in its Permitted Discretion; provided, that for the period from the Closing Date through and including the last day of the third full calendar month following the Closing Date, the Applicable Unused Line Fee Percentage shall be set at the rate in the row styled “Level II”; provided further, that any time an Event of Default has occurred and is continuing, the Applicable Unused Line Fee Percentage shall be set at the margin in the row styled “Level II”: I > 50% of the Maximum Revolver Amount 0.375 percentage points II ≤ 50% of the Maximum Revolver Amount 0.50 percentage points The Applicable Unused Line Fee Percentage shall be re-determined on the first date of each month by Agent.

  • Applicable Unused Line Fee Margin means the per annum fee, from time to time in effect, payable in respect of Borrower's non-use of committed funds pursuant to Section 1.9(b), which fee is determined by reference to Section 1.5(a).

  • Available RP Capacity Amount means the amount of Restricted Payments that may be made at the time of determination pursuant to Sections 6.04(a)(i)(D), (a)(ii), (a)(vi), (a)(ix), (a)(xii), (a)(xviii) and (a)(xix) minus the aggregate amount of the Available RP Capacity Amount utilized by Parent or any Restricted Subsidiary to (a) make Investments pursuant to Section 6.06(q)(ii) or (b) make Restricted Debt Payments pursuant to Section 6.04(b)(iv)(B).
