Assigned Patents definition

Assigned Patents means all Patents issued to, or for which applications are pending in the name of, Holdings or any of its Subsidiaries and (a) assigned to IP Hold-Co in accordance with the Patent Assignment Agreement, including without limitation any Patents described on Schedule 5.17(a) or that are thereafter acquired by, or filed in the name of, Holdings or any of its Subsidiaries, including Patents that are the subject of Section 6.18.
Assigned Patents means only those
Assigned Patents means the patents and patent applications set forth in Schedule 1(c).

Examples of Assigned Patents in a sentence

  • If any of the Assigned Patents are terminally disclaimed to another patent or patent application, all patents and patent applications subject to such terminal disclaimer are included in the Assigned Patents.

  • All inventors named on the Assigned Patents are true and correct.

  • Seller has not initiated any enforcement action with respect to any of the Assigned Patents.

  • Seller has properly recorded all such previously executed Assignment Agreements with respect to the Assigned Patents as necessary to fully perfect its rights and title therein in accordance with governing laws and regulations in each respective jurisdiction.

  • Seller has paid all maintenance, annuity, renewal and issuance fees and the like with respect to the Assigned Patents that are due and payable prior to the end of the ninety (90) day period following the Effective Date.


More Definitions of Assigned Patents

Assigned Patents means (i) the issued patents and patent applications listed on Schedule 2.1 attached hereto (“Listed Assigned Patents”), (ii) any patents that issue from any patent applications included in the Listed Assigned Patents, (iii) any patents or patent applications that claim priority from the Listed Assigned Patents, and (iv) any continuations, continuations-in-part, divisionals, continuing patent applications, counterparts, reissues, re-examinations, extensions, and renewals of any Listed Assigned Patents.
Assigned Patents means the patents and patent applications listed on Schedule A, together with all continuations and divisionals of such applications and the patents issuing therefrom, and reexaminations, reissues and foreign counterparts of the patents listed on Appendix A and/or issued as described above.
Assigned Patents means the Patents listed in Exhibit A, including any re-examination, re-issue, continuation, or division thereof (to the extent that each claimed invention in such application is Covered by one or more claims in the patents listed in Exhibit A) and any foreign counterparts filed or issued in the Territory.
Assigned Patents means (i) the PATENT APPLICATIONS set forth in Schedule I, all PATENT APPLICATIONS claiming priority to such PATENT APPLICATIONS, any of their progeny and any PATENTS issuing from, directly or indirectly, or based upon any of the foregoing, and (ii) the inventions described or claimed in any of the foregoing.
Assigned Patents means the Composition Patents and the Combination Patents, together.
Assigned Patents means each of the following, whether or not pending, issued, expired, abandoned or closed: (a) the Patents listed on Exhibit A (“Listed Patents”), attached hereto and incorporated herein, (b) any and all Patents that are part of the same Patent Families as the Listed Patents, (c) any and all of the inventions, invention disclosures, and discoveries existing as of the Effective Date to the extent disclosed or claimed in subitems (a) and (b) above, and (d) any rights of priority created by such Patents under any treaty relating thereto.
