Assignment of Material Contracts means the Assignment of Material Contracts from Borrower to Lender whereby all construction agreements (other than the Construction Contract, which is subject to a separate Assignment of Construction Contract), supply agreements, off-take agreements, marketing agreements, management agreements, technology licenses, patent licenses and other agreements and licenses relating to the construction and operation of the Project are collaterally assigned to Lender, together with all consents of contracting and licensing parties to the assignment.
