Assignment Termination Date means, with respect to a Transferred Interest, the earlier of the third (3rd) anniversary of the Assignment Date of such Transferred Interest (in accordance with California Streets and Highways Code Section 5898.28(b)), or the re-conveyance of the Transferred Interest from Transferee to Transferor in exchange for a PACE Bond or cash, as applicable.
