Assumption Documentation means the Supplemental Indenture, the Opinions of Counsel, the Officers' Certificate and the other documents referred to in the Escrow Agreement pursuant to which the Solutia Assumption shall occur.

  • Notwithstanding the foregoing, GWG and GWG Life (in lieu of the Borrower) shall pay all reasonable and documented out-of-pocket legal expenses incurred by the Lender and its Affiliates (but not, for the avoidance of doubt, the legal expenses of the Parent and its Subsidiaries and the Trusts) in connection with the GWG Assumption and the preparation, negotiation, execution and delivery of this Agreement and the GWG Assumption Documentation.
