Where the Service Availability Date precedes the Service Term Start Date, the Partner may use the Services on an “as-is” and “as-available” basis with effect from the Service Availability Date and all warranties and service levels will take effect from the Service Term Start Date.
Service Availability Date: means in relation to each Order Form, the date when the Service is first made available for use by the End Customer, which may be on or before the Service Term Start Date.
Notwithstanding the definition of “Equipment Loan Commitment” in Section 1, nothing contained in this Credit Agreement shall be construed to obligate Lender to make any Equipment Advances under the Equipment Loan after the earlier of (i) an Event of Default, or (ii) the Availability Date, but Lender may choose to do so in its sole discretion, and all such Equipment Advances shall in any event be secured by the Collateral.
Any Commitments that are not drawn on the Final Availability Date shall be terminated.
