Availability Trigger Date definition

Availability Trigger Date means (a) the date of delivery of the Compliance Certificate for the four fiscal quarter period ending June 30, 2005 provided that Consolidated EBITDA for the four quarter period then ended is greater than or equal to $30,000,000 or (b) if Consolidated EBITDA for the four quarter period ending June 30, 2005 is less than $30,000,000, the date of delivery of the Compliance Certificate for the four fiscal quarter period ending September 30, 2005.
Availability Trigger Date means the first date upon which the Total Funded Debt/EBITDA Ratio as of the last day of any fiscal quarter is less than or equal to the corresponding ratio set forth opposite such fiscal quarter below:

Examples of Availability Trigger Date in a sentence

  • Assuming no additional Low Availability Trigger Date or Double-Sided Application Trigger Date occurs following the Second Amendment Effective Date, the first date on which any Low Availability Period or Double-Sided Application Period may end is June 1, 2009.

  • As soon as available, and in any event within 20 calendar days following the last day of each calendar month, Borrower shall deliver to Administrative Agent a Vault Cash Report and a Live Locations Report, each certified to Administrative Agent by Borrower’s president or chief financial officer; provided that no Live Locations Report shall be required to be delivered until after the Contract Draw Loan Availability Trigger Date.

Related to Availability Trigger Date

  • Availability Termination Date means, as to any Borrower, the earlier of (a) the Maturity Date for such Borrower and (b) the date of termination in whole of the Aggregate Commitment and the Commitments pursuant to Section 2.8 or Section 8.1 hereof.

  • ii) Trigger Date shall have the meaning set forth in Section 11(a)(iii) hereof.

  • Cash Dominion Trigger Period means the period commencing on the occurrence of a Cash Dominion Trigger Event, and continuing until the date that (a) no Event of Default shall be continuing and (b) Excess Availability is greater than or equal to the greater of (i) 15.0% of the Line Cap and (ii) $6,250,000, in each case, for a period of at least three (3) consecutive Business Days.
