Background Knowledge. The Company and the Institution’s unpublished knowledge in the form of know-how, unpublished inventions or other specialised unpublished knowledge that the Company and the Institution have made known to each other or made available for the completion of the Project.

Background Knowledge means the Parties’ knowledge in the form of know-how, inventions or other specific knowledge that is owned or controlled by a Party and created outside the Project, which the Parties have made known to each other, or provided for the purpose of carrying out the Project. ‘Confidential Information’ means information and material concerning business, economic, technical, scientific, research and other matters which are exchanged orally, in writing, electronically or by any other means. ‘Foreground Knowledge’ means the results and all knowledge generated during the Project, including creations that may be protected under the Danish Patent Act, the Danish Copyright Act or the Danish Utility Model Act, regardless of which of the Parties generated the knowledge.

Background Knowledge means the knowledge and/or technical information and the intellectual property in the same fields as the Project, which is owned or controlled by a party but which has been generated by a party outside the scope of the Project by one of the research groups which participates in this Project for the respective party, and which said party makes available before or after the Effective Date of this Agreement, with the purpose of using it while the Project is being performed.

The Parties acknowledge that Foreground Knowledge and Background Knowledge is provided ‘as is’ and without any representation or warranty, express or implied, as to its accuracy or completeness, including, without limitation, any implied warranty of merchantability or fitness for a particular purpose or any warranty that the use of Foreground Knowledge and Background Knowledge will not infringe or violate any patent or other proprietary rights of any Third Party.
For the avoidance of doubt, such access shall not extend to any commercial work or any work for the benefit of a for-profit organization, and shall cease with the Project unless the Background Knowledge is not deemed Confidential Information, cf.
If a Party uses the other Party’s Foreground Knowledge or Background Knowledge under the terms of the Agreement, then such use shall in every respect take place on the receiving Party's own responsibility.

During the term of the Project the Parties shall grant each other a non-exclusive, non- transferable, fully paid-up, royalty free access right to use their respective Background Knowledge and Foreground Knowledge that is strictly required for completing the Project and for no other reason.

More Definitions of Background Knowledge

Background Knowledge shall include all Intellectual Property Rights and additionally all information, knowledge, data and know- how, regardless if independently developed by a Party outside the scope of the relevant Contract or acquired from third parties. Should the results contain “Background Knowledge” of the Supplier, iinovis is to receive a transferable, sub-licensable, non- exclusive, irrevocable license for these Intellectual Property Rights, settled in full through payment of the contract price.

Background Knowledge means all information, knowledge, know-how, technical documentation, software, data, plans, drawings, samples, specifications, studies, processes and more generally all information whatever its form, protected or not by intellectual property rights such as but not limited to patents, designs, copyrights, which a Party owned or is the holder of a license, prior to the effective date of the Agreement or a Work Order or which have been subsequently developed or acquired by such Party independently from any performance of the Agreement and/or a Work Order.

Background Knowledge means any and all technical and/or scientific information and knowledge and/or any and all other type of information, in any form whatsoever, whether patentable or not, and/or whether actually patented or not, and all the related rights, belonging to a Party or held by the latter prior to the effective dáte of the Agreement.

Background Knowledge means all knowledge, documents, know-how, software, data, specifications, plans, processes, and more generally all information, whatever its form, as well as all intellectual property rights attached hereto (such as but not limited to patents, designs, copyrights), which a Party owned prior to the effective date of the Order or which have been developed or acquired later by such Party independently from any performance of the Order.

Background Knowledge means the knowledge, technology, including all inventions, know-how and Confidential Information, which at Commencement Date is controlled by a Party or during the Main Pro- jects becomes controlled by a Party, or is public and/or protected by intellectual property rights, and to which the controlling Party grant the other Parties an Access Right to, cf. Clause 10, always, however, excluding Foreground Knowledge.

Background Knowledge means the knowledge and/or technical expertise, whether or not eligible for protection, in the fields of the Project, which belongs to or is controlled by a Party, but which has not been generated within the scope of the Project itself, insofar such Party is allowed to put this Background Knowledge at someone's disposal, and also insofar this Background Knowledge is necessary for realization of the Project or for the valorisation of the Project Results. The Background Knowledge remains full and exclusive property of the Party that possesses or controls the Background Knowledge. Background Knowledge that a Party discloses to another Party to this Agreement must be treated by such other Party or Parties in accordance with article 2, Confidentiality, below.
