The Base Case Forecast, dated as of the Closing Date certified as such by an Authorized Officer of the Borrower, as agreed to with the Independent Engineer, and all related statements and reports.
Unless otherwise consented to by Eximbank, the Annual Budget from year to year shall be based on the same format as the Base Case Forecast, including any amounts allocated for contingencies, and be maintained on the same basis and provide sufficient detail to permit a meaningful comparison.
Other than as expressly set forth in the Base Case Forecast and the Construction Budget, the Borrower has not paid or become obligated to pay any fee or commission to any broker, finder or intermediary for or on account of arranging the financing of the transactions contemplated by the Project Documents.
